Terms of Service

Effective Date: October 21, 2026Last Updated: October 21, 2026

IMPORTANT: Please read these Terms of Service carefully. By accepting these Terms or accessing or using the Services, you agree to be bound by them. If you do not agree, do not use the Services.

1. AGREEMENT AND ACCEPTANCE

These Terms of Service ("Terms") constitute an agreement between you and Serveus AI, Inc., a Delaware corporation ("ServeUs," "we," "us," or "our"). They govern use of serveus.ai, the ServeUs mobile applications, marketplace, accounts, messaging, scheduling, service reporting, invoicing, payments, AI-assisted functionality, smart-glasses and other wearable features, and related services (collectively, the "Services").

Our Privacy Policy at https://serveus.ai/privacy-policy describes our personal-information practices. Any separate written agreement expressly applicable to your subscription, payment processing, referral program, or particular Services supplements these Terms; if there is a conflict, that specific agreement controls only for the matter it addresses. You represent that you can enter into this agreement and, when acting for a business or other entity, that you have authority to bind it. We will present an affirmative acceptance mechanism when required by applicable law.

2. DESCRIPTION OF SERVICES AND PLATFORM ROLE

ServeUs provides technology tools that help customers, property owners, real estate agents, property managers, service providers, and assigned workers find or invite one another, communicate, schedule and document work, prepare estimates or invoices, and facilitate payments. Features may vary by account role, device, operating system, geography, subscription, or stage of release.

ServeUs does not perform, employ providers to perform, supervise, direct, insure, warrant, or control the underlying maintenance, pool care, landscaping, cleaning, repair, or other services. Contracts for those services are between the relevant customer (or an authorized property manager) and the independent provider. ServeUs does not guarantee a provider's availability, work quality, timeliness, safety, qualifications, insurance, permits, licensing, or legal compliance. Provider information may be self-reported and is not a ServeUs certification unless expressly identified as verified through a specifically described verification process.

3. INDEPENDENT BUSINESSES AND WORKERS

Providers are independently responsible for their personnel, methods, schedules, pricing, materials, equipment, travel, applicable licenses, permits, insurance, employment obligations, taxes, consumer-protection requirements, safety rules, and work performed. A provider's workers are not ServeUs employees or agents by virtue of their use of the platform. Nothing in these Terms creates an employment, partnership, joint venture, agency, or fiduciary relationship with ServeUs. Statutory rights and legal classifications cannot be waived by contract where law provides otherwise.

4. ELIGIBILITY, ACCOUNTS, AND AUTHORITY

Providers, workers, property managers, and real estate agents must be at least 18 and legally able to enter agreements. Customers must meet the age and capacity requirements applicable to their activities, including entering into service or payment agreements. The Services are not directed to children under 13. Users must provide accurate information, protect account credentials, and notify ServeUs promptly of suspected unauthorized access. Business owners and account administrators control permissions given to their team members and are responsible for appropriately managing those permissions.

You may not impersonate another person or create a homeowner, business, or property record without appropriate authorization. An invitation does not by itself constitute acceptance of any service contract or grant the inviter indefinite account access.

5. ACCOUNT ROLES, PERMISSIONS, AND TRUSTED NETWORKS

Real estate agents. An agent may maintain a curated set of recommended providers and, with appropriate authority, invite or help create a homeowner account and associate that network with the homeowner. Once the homeowner accepts or activates the handoff, the agent does not thereby obtain access to the homeowner's private messages, service agreements, invoices, appointments, reports, payments, or ongoing service activity. The agent may view only information independently authorized to the agent or needed to administer the agent's own network, consistent with the live product permission system.

Property managers. A property manager may be given ongoing, property-specific access only to the extent authorized by the owner or another legally authorized person. Such permission may permit communications and coordination where supported, and may be revoked or altered by the appropriate account administrator, subject to legitimate record-retention and contractual requirements. The app's actual permission controls govern the available functions; users must not assume every property manager can act for every owner.

Recommended providers. A "Trusted Network," "Recommended," or similar designation means a third party selected or identified a provider. It does not mean ServeUs endorses, licenses, insures, background-checks, guarantees, or has independently vetted that provider. Joining a network links the provider's existing profile when supported and does not, by itself, create a service relationship, guarantee referrals, or authorize access to private homeowner information. Providers must not misstate the source or nature of a recommendation.

Referral arrangements. No referral commission or other compensation is owed merely because a provider joins a network or a customer is invited. Any paid referral program, including any proposed per-job real estate-agent or property-manager payment, requires separate written program terms, lawful disclosures, any required licensing or consent, and compliance with applicable laws. ServeUs is not obligated to pay third-party referral fees unless it separately agrees in writing.

6. USER CONTENT, OWNERSHIP, AND LICENSE

"User Content" includes profiles, messages, photos, videos, audio, notes, appointment records, service reports, estimates, invoices, reviews, and uploaded material. You retain whatever rights you lawfully hold in your User Content. You grant ServeUs a non-exclusive, worldwide, royalty-free license, with necessary sublicensing to hosting, processing, delivery, and other service vendors, to host, store, reproduce, format, transmit, display to authorized users, secure, maintain, and otherwise process User Content as reasonably necessary to operate, support, protect, and improve the Services and comply with law.

Private customer communications, service reports, and property imagery are not licensed for public advertising or promotional use without an appropriate separate authorization. Public-facing marketplace profiles and reviews may be displayed and promoted as part of the Services, subject to applicable law, user settings, and the Privacy Policy. When content is deleted or an account closes, copies may persist only as reasonably necessary for legal compliance, dispute handling, security, legitimate business records, backups, or shared records belonging to other authorized parties, consistent with the Privacy Policy and applicable law.

You represent that you have appropriate rights and permissions to submit your content, including permission to capture or share images, audio, and information about other people or properties. Do not upload unlawful or infringing material.

7. PHOTOGRAPHY, VIDEO, VOICE, AND WEARABLE DEVICES

Users may capture images, video, notes, or voice through phones, smart glasses, or other devices. You are responsible for providing any legally required notice, obtaining consent, respecting property access rules, and obeying recording, wiretapping, privacy, and workplace laws. Recording without appropriate consent, secret surveillance, trespass, and unlawful access are prohibited. Availability of a camera or voice feature is not a representation that a recording is lawful in a particular situation.

8. AI-ASSISTED AND AUTOMATED FEATURES

Features may include voice recognition, transcription, report drafts, automated scheduling assistance, and AI-generated text. Results may contain errors or omissions and are provided as assistive tools, not professional advice. Users must review and correct AI outputs before using them for decisions, service records, estimates, invoices, or messages. ServeUs does not guarantee generated content is accurate, complete, or suitable for any particular use.

Private messages and private appointment records will not be used to train publicly available general-purpose AI models unless separately disclosed and legally authorized. The Privacy Policy and any applicable AI notices must accurately explain data sharing with model vendors, subprocessors, retention, opt-outs, and any deidentification or aggregation. Any future compensated "Train AI" contributor program will require separate terms and, where needed, affirmative consent.

9. SUBSCRIPTION PLANS, TRIALS, AND CANCELLATION

Provider subscriptions, paid messaging features, and other premium tools may have recurring fees; current plan prices and included features appear in the applicable checkout or subscription screen. ServeUs currently offers a $59.99 monthly provider subscription with a 14-day introductory trial. The amount, duration, applicable taxes and discounts, and date of first charge are shown before a user authorizes enrollment. If a payment method is enrolled for a trial that converts into a paid plan, the enrollment flow must clearly disclose the recurring charge, the conversion date, and how to cancel.

Unless otherwise clearly stated during checkout, paid subscriptions renew monthly until canceled. A user may cancel using the cancellation method presented in the app, website, or subscription-management flow. Cancellation stops future renewals but does not automatically refund an already-billed period, except where law or the offered plan requires otherwise. Access to paid functionality may continue through the paid period, unless the account is suspended for misconduct or another disclosed reason. ServeUs will provide all renewal notices, consent methods, and cancellation processes required by applicable law and distribution-platform rules.

Free marketplace listings, if offered, do not necessarily include two-way messaging, payment acceptance, or other premium features. The product must disclose any limitations before a user reasonably relies on a listing, invitation, or recommended-provider message. Changes to plan pricing or material billing terms will be disclosed as required by law before taking effect.

10. INVOICES, CUSTOMER PAYMENTS, PROCESSING, AND PLATFORM FEES

Independent providers determine and charge their own service prices and remain responsible for accurate invoices, tax treatment, refunds for services, and resolution of service disputes. Customer payments may be facilitated by third-party processors such as Stripe, subject to their own terms. ServeUs may charge a separate platform fee for eligible customer payments; where a $3 fee applies, the payment or checkout flow must clearly identify the amount, who pays it, and how it is collected before authorization. Other processing fees, taxes, and applicable surcharges must also be disclosed as required by law and card-network rules. No fee is imposed solely by this paragraph absent a corresponding disclosed payment flow.

Card-present features such as Tap to Pay, one-time invoices, saved payment methods, automatic payments, and ACH payments may have additional authorization, device, processor, and geographic requirements. Users must approve charges according to the disclosed flow; the availability of a feature does not authorize an otherwise unauthorized transaction. Where supported, receipts may be delivered by email, SMS, or in-app message using user-provided contact information and appropriate messaging consent.

Chargebacks, failed payments, payout holds, reversals, and disputed transactions are governed by applicable law, the processor terms, and any provider payment agreement. ServeUs is responsible for its own legally nonwaivable obligations, and no disclaimer here removes statutory refund or error-resolution rights. The applicable flow or separate fee schedule should state whether a particular ServeUs platform fee is refundable after a void, refund, reversal, or chargeback.

11. CUSTOMER–PROVIDER SERVICE RELATIONSHIPS AND DISPUTES

Scheduling, estimates, agreements, completion status, customer feedback, and proof-of-work reports are tools for recording the parties' communications and actions; they do not, by themselves, guarantee work completion or resolve disagreements. Customers and providers are responsible for their underlying agreement, including scope, pricing, cancellation of service visits, weather policies, property access, refunds, and damage claims. If the Services offer a dispute-reporting tool, ServeUs may review information or facilitate communications but does not assume responsibility for adjudicating every dispute or paying either party.

12. PROHIBITED CONDUCT

You may not use the Services to: violate law; misrepresent identity, credentials, licenses, referrals, or recommendations; infringe intellectual property or privacy rights; harass, defraud, or threaten others; conduct unlawful recordings or surveillance; upload malware; access accounts or data without authority; scrape or interfere with systems except as expressly permitted; reverse engineer software where restrictions are lawful; circumvent paid-access controls; misuse payment functionality; or disclose another user's confidential or personal information without authorization.

13. INTELLECTUAL PROPERTY

Except for User Content and third-party materials, ServeUs and its licensors own the software, interface, graphics, trademarks, logos, and other proprietary elements. Subject to compliance with these Terms, ServeUs grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for authorized personal or internal business purposes. You may not copy, sell, commercially redistribute, or reverse engineer the Services except as allowed by applicable law.

14. THIRD-PARTY SERVICES

The Services may interact with payment processors, mapping providers, telecommunications carriers, cloud hosting providers, AI vendors, operating-system vendors, and wearable-device platforms. Their applicable terms and policies may apply. Integration availability may change; ServeUs is not responsible for third-party acts beyond responsibilities imposed by law or undertaken in a separate agreement.

15. PRIVACY, ACCOUNT CLOSURE, AND DATA AVAILABILITY

The Privacy Policy governs personal-information collection, usage, disclosures, retention, and rights. Users may request deletion of their account by contacting info@serveus.ai or through any legally required in-product deletion mechanism. Deleting an account may not remove records other users are independently entitled to retain, payments or invoices subject to tax or legal retention, litigation-preservation records, or information reasonably required for fraud prevention and security.

Canceled, suspended, or deleted accounts may lose access to messages, service histories, reports, and other materials. Where required by law or expressly promised in the product, ServeUs will provide an appropriate means to access or export qualifying records. Users should maintain their own lawful copies of important business records. Availability of records following account closure depends on applicable law, the Privacy Policy, and the features made available through the Services.

16. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SERVEUS DISCLAIMS WARRANTIES NOT EXPRESSLY STATED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, SUBJECT TO APPLICABLE LAW. SERVEUS DOES NOT GUARANTEE CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, SECURITY AGAINST EVERY THREAT, ACCURACY OF USER OR AI CONTENT, OR A PARTICULAR OUTCOME FROM ANY INDEPENDENT SERVICE PROVIDER. NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LEGALLY BE EXCLUDED.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT ALLOWED BY LAW, SERVEUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF THE SERVICES, EVEN IF ADVISED SUCH DAMAGES MIGHT OCCUR.

TO THE FULLEST EXTENT ALLOWED BY LAW, THE COMBINED AGGREGATE LIABILITY OF SERVEUS AND SUCH PERSONS FOR CLAIMS RELATING TO THE TERMS OR SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY THE CLAIMANT TO SERVEUS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. THIS CAP AND THESE EXCLUSIONS DO NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

18. INDEMNIFICATION

To the extent allowed by applicable law, you agree to defend, indemnify, and hold harmless ServeUs and its officers, directors, employees, agents, and affiliates from third-party claims, losses, liabilities, expenses, and reasonable attorney fees arising from your unlawful conduct, your User Content, your breach of these Terms, your infringement of third-party rights, or services you perform or arrange. This obligation does not require you to indemnify ServeUs for liability resulting from ServeUs' own conduct to the extent law prohibits such indemnification.

19. SUSPENSION AND TERMINATION

ServeUs may suspend, restrict, or terminate access for suspected fraud, security risk, misuse, nonpayment, legal obligations, or material breach, subject to notice or cure requirements imposed by applicable law. You may stop using the Services and may request account deletion. Termination does not eliminate accrued payment obligations or provisions that by their nature survive, including ownership, confidentiality where applicable, permitted record retention, disclaimers, liability limitations, dispute resolution, and indemnification.

20. DISPUTE RESOLUTION, ARBITRATION, AND CLASS WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT IN COURT.

Except for qualifying individual small-claims cases and claims seeking appropriate injunctive relief for intellectual-property infringement, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules for qualifying consumer disputes or Commercial Arbitration Rules for business disputes. Arbitration may take place by video, telephone, written submissions, or at a location permitted under the applicable rules and law. The arbitrator may grant relief available to an individual claimant under applicable law.

To the extent enforceable, you and ServeUs agree that claims will proceed on an individual basis rather than in class or representative proceedings and that an arbitrator may not consolidate claims except as the parties agree or applicable law requires. If a provision of this section is unenforceable, the remaining provisions will continue to apply to the extent permitted by applicable law.

21. GOVERNING LAW

Subject to the dispute-resolution provision and nonwaivable law, these Terms are governed by Delaware law without regard to conflicts-of-laws principles. Where litigation is permitted and a mandatory consumer venue rule does not apply, the parties consent to appropriate state or federal courts in Delaware. This section does not deprive consumers of nonwaivable protections of their home jurisdiction.

22. CHANGES TO THESE TERMS

ServeUs may revise these Terms from time to time. Material changes will be communicated by email, in-app notice, or another legally sufficient channel before they take effect when required by law. Where affirmative renewed consent is legally required, continued use alone will not substitute for that consent. The operative version and effective date will be available through the Services.

23. GENERAL PROVISIONS

These Terms, the Privacy Policy, and any expressly incorporated agreements constitute the parties' agreement regarding the Services. An invalid provision does not invalidate the rest except as expressly provided by the arbitration provision. Failure to enforce a term is not a waiver. You may not assign these Terms without ServeUs' consent; ServeUs may assign them in connection with a corporate transaction or otherwise as allowed by law. Neither party is liable for failure caused by events beyond reasonable control to the extent permitted by law, but this does not excuse amounts properly due or nonwaivable legal duties.
